1. Acceptance
By accessing this website or submitting an application, you agree to these terms. If you are entering into them on behalf of a company, you represent that you have authority to bind that company, and "you" means that company. If you do not agree, do not use this website.
2. Who we are and what we do
This website is operated by [LEGAL ENTITY NAME], a [ENTITY TYPE] registered in [JURISDICTION] under company number [COMPANY NUMBER], registered office [REGISTERED ADDRESS] ("Strata", "we", "us").
Strata is a payment technology provider and is not a bank. We do not hold a banking licence, we do not take deposits, and we do not ourselves acquire card transactions. We provide technology and introduce merchants to licensed acquiring institutions and payment gateways, and we integrate and route transactions across them. Card acquiring, settlement and the holding of funds are performed by those institutions under their own agreements and licences.
3. Eligibility
To apply you must:
- be at least eighteen (18) years old and legally capable of entering into contracts;
- be applying on behalf of a lawfully constituted business, and have authority to bind it;
- operate a business that is lawful in every jurisdiction in which it sells; and
- meet our then-current volume threshold, which is currently US$50,000 per month in processing volume, or a credible path to it within ninety (90) days.
We may change eligibility criteria at any time, and we may decline any application at our discretion.
4. Applications and underwriting
Submitting an application does not create a contract and is not an offer we are bound to accept. No merchant account exists, and no processing may occur, until we and the relevant acquiring institution have approved you in writing and a merchant agreement is signed.
We aim to respond to applications within twenty-four (24) hours. This is a target, not a guarantee, and does not create a binding service level.
You agree that:
- all information you give us is true, accurate, complete and not misleading, and you will tell us promptly if it changes;
- we may verify it, including through identity, sanctions, adverse media and credit checks, and through industry databases including the MATCH / Terminated Merchant File;
- we may decline, suspend or withdraw an approval at any time, including where an acquiring institution or card network requires it, without any obligation to give reasons; and
- providing false or misleading information is grounds for immediate rejection or termination, and may be reported to card networks and authorities.
Reserve requirements, payout schedules and settlement terms are determined during underwriting and stated in your merchant agreement. Any figures on this website are illustrative.
5. Pricing and published claims
Pricing shown on this website — including setup fees, gateway options, processing rates, chargeback fee treatment, and any waiver of setup fees at stated volume levels — is indicative and subject to underwriting. Your actual pricing depends on your volume, ticket size, industry, chargeback history and risk profile, and is binding only once stated in a signed merchant agreement.
Statements about routing behaviour, failover, approval rates and settlement timing describe how the system is designed to operate under normal conditions. They are not warranties of a particular outcome and depend on factors outside our control, including the decisions of acquiring institutions, gateways, card networks and issuing banks.

7. Acceptable use of this website
You must not:
- use the site unlawfully, or to submit an application you know to be false;
- attempt to gain unauthorised access to the site, its systems or any account;
- probe, scan or test the vulnerability of the site without our prior written permission;
- scrape, harvest or systematically extract content, or use automated means to submit applications;
- interfere with the site's operation, or introduce malicious code; or
- impersonate any person, or misrepresent your affiliation with any person or entity.
8. Restricted and prohibited activity
We work with businesses in higher-risk categories, including research-use-only compounds, vaping and e-cigarettes, smoking accessories, licensed pharmacies and nutraceuticals. Accepting a category does not mean accepting every business within it, and every account remains subject to underwriting, acquirer approval and card network rules.
If we place your account, you undertake that you will at all times:
- hold and maintain every licence, registration and authorisation your business requires in each jurisdiction where you sell;
- comply with all applicable law and card network rules, including advertising, labelling, age-verification and import/export requirements;
- make no claim about a product that its regulatory status does not permit — in particular, research-use-only products must not be marketed for human consumption or with therapeutic, medical or dosing claims;
- sell only the products and through only the domains disclosed to us and approved in underwriting; and
- not use any account we place to process for another business, or for transactions unrelated to the approved business ("transaction laundering" or factoring).
We will not place, and will terminate, accounts involving:
- controlled substances sold unlawfully, or prescription medicines sold without a valid prescription or licence;
- products marketed with claims that are unlawful for that product;
- sales to persons below the lawful age for the product;
- fraud, deception, misrepresented goods, or unauthorised subscription or negative-option billing;
- money laundering, terrorist financing, sanctions evasion, or dealings with sanctioned persons or territories;
- child sexual abuse material, non-consensual content, or human trafficking;
- intellectual property infringement or counterfeit goods; or
- any other activity prohibited by applicable law, card network rules, or an acquiring institution.
9. Intellectual property
The site and its content — including text, design, layout, graphics, logos and code — are owned by us or our licensors and protected by intellectual property law. We grant you a limited, revocable, non-exclusive, non-transferable licence to view the site for the purpose of evaluating our services. All other rights are reserved. The Strata name and logo are our marks and may not be used without written permission. Third-party marks shown on this site, including those of card networks, wallets and gateways, belong to their respective owners, and their appearance does not imply endorsement or partnership except where we state otherwise.
10. Third-party services and links
This site links to and integrates third-party services, including Telegram, Authorize.net, PayPal and Meta. We do not control them and are not responsible for their content, availability, terms or privacy practices. Your use of them is governed by their own agreements.
11. Disclaimers
The site is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the site will be uninterrupted, timely, secure or error-free, or that information on it is accurate, complete or current.
Nothing on this site is legal, tax, financial or regulatory advice. You are responsible for obtaining your own advice on the lawfulness of your business, your licensing, and your tax and reporting obligations, including any arising from settlement in cryptocurrency.
Cryptocurrency risk. Where payouts are settled in USDT, you accept the risks inherent in digital assets, including price volatility, issuer and custodial risk, network congestion, irreversibility of transfers, and loss caused by an incorrect wallet address you provide. Transfers to a wallet address you give us cannot be recalled.
12. Limitation of liability
Nothing in these terms excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded.
Subject to that, to the fullest extent permitted by law:
- we are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, business, goodwill, data or anticipated savings, however arising, even if advised of the possibility; and
- our total aggregate liability arising out of or relating to this website and any application, whether in contract, tort (including negligence), statute or otherwise, is limited to the greater of US $100 or the total fees you have paid us in the twelve (12) months before the event giving rise to the liability.
In particular, we are not liable for the acts, omissions or decisions of any acquiring institution, gateway, card network or issuing bank, including any decision to decline, suspend, freeze, hold funds, impose reserves, or terminate.
13. Indemnity
You will indemnify and hold harmless Strata and its officers, employees and agents from any claim, loss, liability, fine, penalty, cost or expense (including reasonable legal fees) arising from your breach of these terms, your violation of law or card network rules, the information you submit to us, or your products, marketing or business operations.
14. Governing law and disputes
These terms and any dispute arising out of them are governed by the laws of [GOVERNING LAW JURISDICTION], without regard to conflict-of-laws rules. The courts of [COURTS / VENUE] have exclusive jurisdiction, and you and we submit to that jurisdiction. Disputes are resolved in those courts; these terms do not require binding arbitration.
15. General
- Changes. We may amend these terms at any time by posting an updated version with a new "Last updated" date. Continued use means acceptance.
- Severability. If a provision is held unenforceable, the rest remains in force and the provision is modified to the minimum extent needed to make it enforceable.
- No waiver. A failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these terms without our written consent. We may assign them to an affiliate or successor.
- Entire agreement. These terms, with our Privacy Policy, are the entire agreement about your use of this website.
- No third-party rights. No one other than you and us has any right to enforce these terms.
